Meridian Data Centers LLC Effective date: January 1, 2026

These Terms of Service ("Terms") govern your use of meridiandatacenters.com (the "Site"), operated by Meridian Data Centers LLC, a Missouri limited liability company ("Meridian," "we," "us"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Purpose of the Site

The Site provides general information about Meridian and its approach to designing, integrating and operating AI data center infrastructure. It is not an offer to provide any service, and no agreement for services, capacity or any project arises from your use of the Site or from any inquiry you send. Any engagement with Meridian is governed only by a separate written agreement signed by both parties.

2. No offer of securities and no professional advice

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or investment, and nothing on the Site is investment, legal, tax, engineering or other professional advice. You should obtain independent advice before making any decision based on information on the Site.

3. Information on the Site

We try to keep the Site accurate and current, but the information on it is provided for general purposes only and may change without notice. Figures describing experience may include work performed by members of our team in prior roles. Statements about markets, projects, capacity, pipeline, plans or expected results are forward-looking, are based on current assumptions, and may differ materially from actual outcomes. We have no obligation to update them.

4. Intellectual property

The Site and its content, including text, graphics, logos, designs, documents and software, are owned by or licensed to Meridian and are protected by intellectual property laws. You may view and download content for your own internal, non-commercial evaluation of Meridian. You may not copy, modify, distribute, sell, republish or create derivative works from any part of the Site without our prior written consent. "Meridian," "Physical AI Mesh" and related names and logos are trademarks of Meridian, and nothing on the Site grants you any right to use them.

5. Acceptable use

You agree not to:

  • use the Site in violation of any law or regulation;
  • attempt to gain unauthorized access to the Site or its systems, or interfere with their operation;
  • introduce malware or run automated scraping or data collection against the Site, except by search engines in accordance with our robots.txt;
  • impersonate any person or misrepresent your affiliation; or
  • use the Site to send unsolicited marketing.

6. Information you send us

Please do not send confidential or proprietary information through the Site's contact form or by unsolicited email. Unless and until a written confidentiality agreement is signed, information you send us is not treated as confidential, and we have no obligation to review, use or return it. Our handling of personal information is described in our Privacy Policy.

7. Third-party links

The Site may link to websites operated by third parties. We do not control them and are not responsible for their content, policies or practices. A link does not imply our endorsement.

8. Disclaimer

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MERIDIAN AND ITS MEMBERS, MANAGERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

10. Indemnity

You agree to indemnify and hold harmless Meridian and its members, managers, employees and agents from any claims, losses and expenses, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Site.

11. Governing law and disputes

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-law rules. Any dispute relating to the Site or these Terms will be brought exclusively in the state or federal courts located in St. Louis County, Missouri, and you consent to their jurisdiction. Any agreement between you and Meridian for services or projects is governed by its own dispute-resolution terms, which prevail over this Section.

12. Changes to these Terms

We may update these Terms from time to time by posting a revised version on this page with a new effective date. Your continued use of the Site after changes are posted means you accept the revised Terms.

13. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. These Terms are the entire agreement between you and Meridian regarding the Site.
